The Williamson Health Board of Trustees voted unanimously on Monday to move forward with a plan to sell the county-owned health system to Ascension Saint Thomas.
The decision came during a special board meeting held at Williamson Health’s West Tower in Franklin. According to the meeting notice, the sole purpose of the session was to consider and act on the health system’s strategic planning process.
In an open letter to the community following the meeting, Board Chairman Bo Butler said trustees concluded there was no sustainable path for Williamson Health to remain independent despite examining multiple alternatives.
“The best path forward is a change of ownership,” Butler wrote, adding that the nonprofit health system has the financial resources needed to support future growth while preserving Williamson Health’s community-focused mission.
Butler said the board unanimously selected Ascension Saint Thomas because of its alignment with Williamson Health’s mission, culture and long-term vision.
“For us, the cultural fit, like-minded community-focused mission, commitment to our employees and medical staff, and plans to quickly invest capital to achieve our shared vision for how Williamson Health should evolve in the future – while also honoring our legacy – all combined to make it clear that Ascension Saint Thomas is the best partner for us moving forward,” he said.
Williamson Health first announced in 2025 that it was exploring strategic options as hospitals across the country faced “mounting pressures in the ever-evolving healthcare environment,” including rising operating costs, workforce shortages, regulatory pressures and growing capital needs.
While board members initially hoped to maintain the system’s independence, Butler said extensive research and financial analysis ultimately led trustees to conclude that remaining independent was not a realistic long-term option.
The proposed transaction is not yet final. Butler said he has presented the board’s decision to the Williamson County Board of Commissioners, which must approve any sale of the public hospital system.
Williamson Health and Ascension Saint Thomas will now work with legal counsel to prepare a non-binding letter of intent for commissioners to consider before negotiating a definitive agreement.
The sale is valued at approximately $700 million, with additional capital commitments bringing the total investment to roughly $900 million, according to Williamson Scene, which further reported that Ascension Saint Thomas has also committed to retaining Williamson Health employees for at least one year after the transaction closes.
